How a buy-side engagement works
- Define the thesis. We start by pressure-testing what you actually want to own: sector, size, borough, owner involvement, growth profile and — critically — what you can finance. A clear thesis is what separates a six-month search from a three-year one.
- Source broadly. We canvass our own listings, the entire brokered market, and — where the thesis justifies it — run direct, discreet outreach to owners of businesses that are not for sale. Some of our best buyer outcomes started with a letter to an owner who "wasn't selling."
- Screen ruthlessly. For each candidate we analyze the financials, stress-test the seller's add-backs, review the lease, and estimate a defensible value before you invest emotional energy. Most targets die here — which is exactly the point.
- Negotiate and structure. When a target survives screening, we help you frame the offer: price, cash at close, seller financing, earnouts, transition support and non-compete terms. Structure is often worth more than the last five percent of price.
- Close. We coordinate SBA or conventional financing, quarterback diligence alongside your attorney and accountant, and manage the lease assignment and license transfers that trip up so many New York deals.
